Item 2.05         Costs Associated with Exit or Disposal Activities.
 
On June 30, 2021, Twin Disc, Incorporated (the “Company”) announced a restructuring of its operation in Nivelles, Belgium. The restructuring will reduce the Company’s workforce at its Belgian subsidiary by 23 employees. The Company expects to complete this reduction in its workforce by December 2022. The action was taken to allow the Belgian operation to focus resources on core manufacturing processes, while allowing for savings on the outsourcing of non-core processes.
 
The Company expects to record a pre-tax restructuring charge of approximately $2,200,000 in the fourth quarter of its fiscal year that ended June 30, 2021. The Company anticipates that the total restructuring charges will range from approximately $2,200,000 to $4,200,000, depending on the outcome of upcoming negotiations with the union representing certain of the affected employees. The charges consist of expected cash expenditures for severance payments for the employees that will be terminated. The Company estimates annual pre-tax savings upon completion of the restructuring of approximately $1,600,000.
